Contract terms and legal regulations
1. Scope
  1. These general terms and conditions apply to all contracts between the Plan Concept [legal form] [address]
    (hereinafter “Contractor”) and its customers.

  2. Customers within the meaning of these terms and conditions are both
    • Entrepreneur (§14 BGB) — hereinafter referred to as “B2B”
    • Consumers (§13 BGB) — hereinafter referred to as “B2C”.
  3. Deviating conditions of the customer are not accepted unless their validity is expressly agreed in writing.
2. Conclusion of contract
  1. Offers from the contractor are subject to change and non-binding.

  2. A contract is concluded by:
    • written order confirmation or
    • signing an offer, or
    • Start of performance of the service.
3. Scope of services
  1. The scope of services is based on the respective offer.

  2. Changes or additional services will be charged separately.

  3. The client is obliged to provide all necessary information and access in good time.

4. Prices and terms of payment
  1. All prices are as follows:
    • net plus VAT for entrepreneurs
    • vis-à-vis consumers including statutory VAT
    • Start of performance of the service.
  2. Invoices are payable in full within 14 days.

  3. In the event of late payment, the statutory default interest in accordance with §288 BGB applies.

5. Performance time
  1. Dates specified are only binding if they have been expressly confirmed in writing.

  2. Delays due to force majeure or unforeseeable events extend the period accordingly.

6. Guarantee
  1. For consumers (B2C):
    • Statutory warranty rights apply (usually 2 years).
  2. For entrepreneurs (B2B):
    • The warranty period is 12 months from acceptance of the service.
7. Liability
  1. The contractor is fully liable for intent and gross negligence.

  2. In case of simple negligence, only in case of breach of essential contractual obligations.

  3. Liability is limited to foreseeable damage typical of the contract.

  4. Liability under the Product Liability Act remains unaffected.

8. Right of withdrawal (consumers only)
  1. Consumers generally have a 14-day right of withdrawal.

  2. Important note for craft services:
    • The right of withdrawal expires prematurely if the customer expressly demands that the service begins before the cancellation period expires and has been provided in full.

9. Retention of title
  1. Delivered materials remain the property of the contractor until full payment has been made.

10. Jurisdiction and law
  1. German law applies.

  2. For entrepreneurs, the place of jurisdiction is the registered office of the contractor.
